These Legal and Policy documents govern your use of SharePanel.host services. By using our platform, you agree to be bound by these terms. Last updated: April 15, 2025.

1. Terms of Service

1.1 Scope & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "Account Holder") and SharePanel.host ("SharePanel," "we," "us," or "our"). They govern your access to and use of our website, APIs, documentation, software products, and any related services (collectively, the "Service"). By registering for an account, clicking "Accept," or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must immediately discontinue all use of the Service. SharePanel reserves the right to update or modify these Terms at any time by posting revisions on this page and updating the "Last Updated" date. Continued use after any such changes will constitute your acceptance of the new Terms.

Important: These Terms may be updated from time to time without direct notification. It is your responsibility to periodically review these Terms for changes. Your continued use of the Service after changes are made constitutes your acceptance of such changes.

1.2 Definitions

"User Content" means all data, materials, code, information, files, and multimedia content that you upload, submit, or otherwise make available through the Service.

"Authorized User" means any individual whom the Account Holder has explicitly permitted to access or use the Service under the Account Holder's credentials, subject to these Terms.

"Documentation" means any user manuals, handbooks, guides, or online help materials provided by SharePanel relating to the Service.

"Service" refers to SharePanel.host's platforms, websites, applications, APIs, and any other software or services provided by SharePanel.host to its users.

"User Account" means the personalized account created by a User to access and use the Service.

"Subscription" means the purchased right to access and use the Service for a defined period according to the selected plan.

"Intellectual Property Rights" means all intellectual property rights of any kind existing anywhere in the world, registered or unregistered, including patents, copyrights, trade secrets, know-how, design rights, trademarks, service marks, and any applications for the foregoing.

1.3 Account Registration & Security

To access certain features of the Service, you must register for an account and provide current, accurate, and complete information, including a valid email address and billing details. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify SharePanel immediately upon learning of any unauthorized use of your account or any other security breach.

SharePanel may suspend or terminate your account without liability if we suspect any fraudulent or abusive activity, including but not limited to unauthorized API access, repeated failed login attempts, or violation of these Terms.

In addition to these security requirements, you must:

  • Use strong, unique passwords for your SharePanel account
  • Not share your account credentials with any unauthorized users
  • Enable two-factor authentication when available
  • Log out from your account when using shared or public devices
  • Keep your contact and billing information up to date
  • Review account activity logs regularly for suspicious activity

For enhanced enterprise security:

  • Enterprise customers must implement Single Sign-On (SSO) integration where applicable
  • Organizations must designate at least one account administrator
  • Account owners must promptly revoke access for departed employees or contractors

1.4 License Grant & Restrictions

Subject to your compliance with these Terms, SharePanel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. All rights not expressly granted herein are reserved by SharePanel.

You may not: (a) reverse engineer, decompile, or disassemble any portion of the Service; (b) reproduce, distribute, or create derivative works based on the Service; (c) sublicense or permit any third party to access the Service except through an Authorized User; or (d) circumvent any technical or contractual restrictions imposed by SharePanel.

Additional license restrictions:

  • You may not use the Service to build a competitive product or service
  • You may not use any automated methods to monitor, copy, or extract data from the Service
  • You may not access the Service through any technology or means other than those provided by SharePanel
  • You may not remove or alter any proprietary notices or labels from the Service
  • You may not modify, adapt, or hack the Service to falsely imply any sponsorship or association with SharePanel
  • You may not exceed any rate limits or quotas specified in your subscription tier

Warning: Violating these license restrictions may result in immediate termination of your account and potential legal action, including claims for damages.

1.5 Acceptable Use

You agree not to use the Service to: (i) transmit any content that infringes intellectual property rights or violates privacy or publicity rights; (ii) distribute malware, spam, or unsolicited bulk communications; (iii) perform network or security scans, penetration tests, or DDoS attacks; (iv) harvest or scrape data from the Service without explicit prior consent; or (v) otherwise interfere with the security, integrity, or performance of the Service.

We reserve the right to investigate and take appropriate legal action against anyone who, in SharePanel's sole discretion, violates this provision, including reporting you to law enforcement authorities.

Additional prohibited activities include:

  • Uploading or transmitting any content that contains viruses, malware, or other malicious code
  • Using the Service to violate any applicable laws or regulations
  • Attempting to gain unauthorized access to other users' accounts or private information
  • Using the Service to engage in abusive, harassing, or threatening behavior
  • Impersonating another person or entity, or falsely stating your affiliation with a person or entity
  • Engaging in any activity that could disable, overburden, or impair the Service (such as a denial of service attack)
  • Accessing, tampering with, or using non-public areas of the Service's systems or the technical delivery systems of our providers
  • Using the Service to store or process sensitive personal data without implementing proper safeguards
  • Facilitating or encouraging any violations of these Terms

SharePanel reserves the right to monitor compliance with these restrictions and to remove or disable access to any content that violates these Terms, though we are not obligated to do so.

1.6 Fees, Billing & Refunds

Fees for paid tiers of the Service ("Subscription Fees") are billed in U.S. dollars and automatically renew at the end of each billing period unless cancelled at least 30 days prior to renewal. Any change in Subscription Fees will be communicated to you via email and will become effective upon your next renewal.

All fees are non-refundable except as required by applicable law or expressly stated otherwise by SharePanel. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower. You agree to pay all taxes (excluding taxes based on SharePanel's net income) arising from your use of the Service.

Additional billing and payment terms:

  • We may suspend or terminate your access to the Service if payment is more than 10 days overdue
  • If your payment method fails, we will attempt to process the charge again within 3 business days
  • Downgrading your subscription may cause loss of features, capacity, or data
  • Subscription upgrades take effect immediately, with prorated charges for the remaining billing period
  • Subscription downgrades take effect at the end of the current billing period
  • Custom enterprise pricing is available for organizations with specific requirements
  • Students and educational institutions may be eligible for discounted pricing with valid proof of status
  • SharePanel reserves the right to offer promotional pricing, discounts, or free trials at our discretion

Note on Service Credits: In cases of documented Service unavailability that exceeds our SLA thresholds, we may issue Service Credits to affected users. These credits are applied to future billing cycles and have no cash value. Service Credits must be claimed within 30 days of the incident and are limited to a maximum of 30% of the monthly subscription fee.

1.7 Suspension & Termination

SharePanel may immediately suspend or terminate your access to the Service, without notice or liability, if you breach these Terms or if SharePanel reasonably believes that such action is necessary to protect the Service or third parties. Upon termination, your right to access the Service will immediately cease, and SharePanel may, in its discretion, delete your data after a 60-day grace period, during which you may request recovery by contacting support.

Sections 1.4, 1.7, 1.8, 1.9, 3, 4, 5, and 6 of these Terms, as well as any payment obligations, will survive any expiration or termination of this Agreement.

1.7.1 Grounds for Immediate Termination

SharePanel reserves the right to immediately terminate your account and access to the Service without prior notice under any of the following circumstances:

  • Violation of intellectual property rights, including unauthorized use of copyrighted material
  • Posting or sharing of illegal, harmful, or prohibited content
  • Engaging in fraudulent activity or providing false information
  • Repeated violations of our Acceptable Use Policy
  • Unauthorized access to other users' accounts or data
  • Use of the Service to distribute malware, viruses, or other malicious code
  • Conducting activities that compromise the security or stability of our platform
  • Engaging in any activity that substantially interferes with other users' enjoyment of the Service
  • Violation of applicable laws or regulations in connection with your use of the Service
  • Exceeding usage limits or quotas by more than 300% for three consecutive days
  • Failure to pay fees after multiple reminders and grace periods
  • Violation of export control or sanctions regulations

1.7.2 Standard Termination Process

For less severe violations, SharePanel typically follows this process:

  1. Initial warning with specific details about the violation
  2. Temporary suspension of particular features or capabilities
  3. Account restriction with limited functionality for a probationary period
  4. Final warning with a specific compliance deadline
  5. Full account termination if issues are not resolved

1.7.3 Account Reactivation

Terminated accounts may be eligible for reactivation under the following conditions:

  • Submission of a formal reactivation request with evidence of remediation
  • Payment of any outstanding balances plus a reactivation fee
  • Completion of a compliance review by our Trust & Safety team
  • Agreement to enhanced monitoring for a probationary period
  • Signing of an addendum acknowledging previous violations and committing to future compliance

1.7.4 Data Retention After Termination

Following account termination:

  • All User Content will be made inaccessible immediately
  • User Content remains in our backup systems for 60 days before permanent deletion
  • During this period, former users may submit a formal request for data export (subject to administrative fees)
  • After 60 days, all User Content is permanently and irreversibly deleted from our systems
  • Anonymous usage statistics may be retained indefinitely for analytical purposes
  • Financial records are retained as required by applicable laws and regulations

Important: SharePanel is under no obligation to maintain or provide any User Content following termination. Once the 60-day grace period has expired, all User Content may be permanently deleted without possibility of recovery.

1.8 Indemnification

You agree to defend, indemnify, and hold harmless SharePanel and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms; (b) your use of the Service in violation of law or the rights of a third party; or (c) any User Content you submit.

This indemnification extends to and includes:

  • Third-party claims regarding intellectual property infringement
  • Data privacy violations or data breaches caused by your actions
  • Regulatory penalties or fines imposed due to your non-compliance
  • Damages resulting from your unauthorized modification of the Service
  • Claims arising from your End Users' interactions with the Service

SharePanel will:

  • Promptly notify you of any such claim
  • Provide reasonable assistance in your defense of such claim at your expense
  • Allow you to control the defense and settlement of the claim, provided that you may not settle any claim without SharePanel's prior written consent if such settlement attributes liability to SharePanel

1.9 Governing Law & Dispute Resolution

This Agreement and any disputes arising hereunder shall be governed by the laws of the jurisdiction indicated based on your location, without regard to conflict-of-law provisions:

  • Canada: Province of British Columbia; courts of Vancouver, BC.
  • United States: State of Delaware; courts of New Castle County, DE.
  • European Union: Republic of Ireland; courts of Dublin.
  • Russia: Russian Federation; courts at the defendant's location.
  • United Kingdom: England and Wales; courts of London.
  • Australia: State of New South Wales; courts of Sydney.
  • All other jurisdictions: Province of British Columbia, Canada; courts of Vancouver, BC.

All proceedings shall be conducted in English. Any translation of this Agreement is for convenience only and will not be binding.

1.9.1 Mandatory Arbitration

Except where prohibited by applicable law, any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the rules of:

  • The International Chamber of Commerce (ICC) for international disputes
  • JAMS for disputes within the United States
  • ADR Institute of Canada for disputes within Canada

The arbitration shall be conducted by a single arbitrator appointed in accordance with said rules. The place of arbitration shall be the capital city of the applicable jurisdiction. The arbitration award shall be final and binding on the parties.

1.9.2 Class Action Waiver

All claims and disputes must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user. If this waiver is found to be illegal or unenforceable, then the entire arbitration provision shall be null and void.

1.9.3 Equitable Relief

Notwithstanding the foregoing, SharePanel may seek injunctive or other equitable relief to protect its intellectual property rights or confidential information in any court of competent jurisdiction.

2. Intellectual Property Rights

This section clarifies ownership rights related to the Service and User Content. It's particularly important to understand that by uploading code or other content to SharePanel.host, you grant us extensive rights to that content.

2.1 SharePanel.host Ownership

SharePanel.host and its licensors exclusively own all right, title, and interest in and to the Service, including all associated intellectual property rights. You acknowledge that the Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Service.

SharePanel's exclusive ownership includes but is not limited to:

  • The platform's architecture, design, and code
  • All APIs, SDKs, and developer tools
  • Documentation, tutorials, and support materials
  • SharePanel.host trademarks, logos, and brand elements
  • Platform analytics, usage data, and performance metrics
  • Aggregated and anonymized user data
  • Algorithmic improvements derived from platform usage
  • All improvements, updates, and derivative works of the above

2.2 User Content Ownership

IMPORTANT: BY UPLOADING CONTENT TO SHAREPANEL.HOST, YOU AGREE THAT SHAREPANEL.HOST BECOMES THE OWNER OF THAT CONTENT, NOT YOU.

When you upload, submit, store, send, or receive content to or through our Service, you give SharePanel.host (and those we work with) a worldwide, royalty-free, and non-exclusive license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, distribute and analyze such content.

This license continues even if you stop using our Service. This license is for the limited purpose of operating, promoting, and improving our Service, and to develop new ones.

Critical understanding: When you upload code to SharePanel.host, you are transferring ownership of that code to SharePanel.host. The code becomes SharePanel.host property. While you maintain a license to use the code for your own purposes, SharePanel.host reserves the right to use, modify, and sublicense that code at our discretion, including making it available to other users or incorporating it into our products.

You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any content that you submit. You understand that, regardless of whether such content is published, SharePanel.host does not guarantee any confidentiality with respect to such content.

2.3 Code Ownership and Rights

All code uploaded to or created on SharePanel.host falls under the following ownership structure:

Code Ownership Declaration

By uploading, creating, or submitting any code to the Service, you hereby irrevocably assign and transfer to SharePanel.host all right, title, and interest worldwide in and to such code and all applicable intellectual property rights related to it, including without limitation copyrights, moral rights, and patent rights.

Despite this transfer of ownership, SharePanel.host grants you a non-exclusive, worldwide, royalty-free license to use, copy, and modify the code you've submitted solely for your personal or internal business purposes. This license does not include the right to redistribute, sell, or sublicense the code to third parties.

SharePanel.host reserves the right to:

  • Include your submitted code in our code libraries
  • Make your code available to other SharePanel.host users
  • Modify or improve your code and incorporate it into our platform
  • Use your code to train our systems and improve our services
  • License or sublicense your code to third parties
  • Use your code in any manner we see fit without attribution or compensation

By accepting these Terms, you explicitly waive any moral rights you may have in such code to the extent permitted by applicable law.

2.4 Third-Party Code and Open Source

If you upload or incorporate third-party code or open-source materials to the Service:

  • You must ensure you have proper rights to use and share such code
  • You must comply with all applicable third-party licenses
  • You may not upload code under licenses that would impose obligations on SharePanel.host to make our platform open source (such as GPL)
  • You are responsible for maintaining documentation of all third-party components and their licenses

SharePanel.host reserves the right to remove any third-party or open-source code that we believe may create legal risks or licensing conflicts.

2.5 Feedback and Suggestions

If you provide feedback, ideas, or suggestions regarding the Service ("Feedback"), you hereby assign to SharePanel.host all rights in such Feedback and agree that SharePanel.host shall own all Feedback and is entitled to use the Feedback without restriction. This includes the right to copy, modify, create derivative works, publicly display, distribute, sell, and otherwise use the Feedback in any manner without any attribution or compensation to you.

3. Service Termination

This section provides detailed information about our rights to terminate or suspend your access to SharePanel.host, the consequences of termination, and the procedures following termination.

3.1 Termination by SharePanel.host

SharePanel.host reserves the right to terminate or suspend your access to all or part of the Service at any time, with or without cause, with or without notice, effective immediately. Causes for termination may include, but are not limited to:

3.1.1 Violation-Based Termination

Your account may be terminated for:

  • Violation of any provision of these Terms
  • Engaging in prohibited conduct as outlined in our Acceptable Use Policy
  • Creating risk or possible legal exposure for SharePanel.host
  • Suspected fraudulent, abusive, or illegal activity
  • Prolonged inactivity (accounts inactive for 12+ months)
  • Using the Service to compete with SharePanel.host
  • Unauthorized scraping or data harvesting
  • Excessive strain on our infrastructure beyond reasonable use

3.1.2 Business-Based Termination

SharePanel.host may also terminate services for business reasons, including:

  • Discontinuation of the Service or specific features
  • Change in corporate structure (merger, acquisition, etc.)
  • Market exits from specific regions or countries
  • Regulatory changes making service provision impractical
  • Force majeure events beyond our reasonable control

Business Continuity: In the event that SharePanel.host discontinues the Service entirely, we will provide at least 90 days' notice for enterprise customers and 30 days' notice for all other customers, with instructions for data export where applicable.

3.2 Termination by User

You may terminate your account at any time by:

  1. Navigating to Account Settings
  2. Selecting "Delete Account"
  3. Following the confirmation process

For subscription-based accounts:

  • Cancellation takes effect at the end of your current billing cycle
  • No refunds are provided for unused portions of your subscription period
  • Early termination fees may apply for annual contracts with minimum commitment periods

For enterprise customers with custom contracts, termination provisions in your signed agreement supersede these Terms.

3.3 Effects of Termination

Upon termination of your account:

  • Your right to access or use the Service will immediately cease
  • SharePanel.host may delete or archive your User Content
  • Any outstanding payment obligations will become immediately due
  • Licenses granted to your User Content persist according to Section 2.2
  • All API keys and access tokens will be invalidated immediately
  • Any subaccounts or team member accounts may also be terminated
  • You must cease using any downloaded materials from the Service
  • You must delete any cached or stored content from the Service

After termination, if you wish to access your User Content, you may submit a written request to data@sharepanel.host within 60 days of termination. Data recovery requests are subject to:

  • Administrative fee of $150 USD per recovery request
  • Technical feasibility of recovery
  • Verification of account ownership
  • Compliance with applicable laws and regulations

Data Loss Warning: SharePanel.host makes no guarantees regarding the availability of User Content after account termination. For mission-critical data, maintain your own regular backups.

3.4 Survival of Terms

The following provisions survive the termination of your account:

  • Sections 1.4 (License Restrictions)
  • Section 1.7 (Suspension & Termination)
  • Section 1.8 (Indemnification)
  • Section 1.9 (Governing Law & Dispute Resolution)
  • Section 2 (Intellectual Property Rights)
  • Section 3 (Service Termination)
  • Section 4 (Privacy Policy)
  • Section 5 (Cookie Policy)
  • Section 10 (General Provisions)
  • Any payment obligations incurred prior to termination
  • Any other provisions intended by their nature to survive termination

All remedies for breach of this Agreement shall survive termination.

4. Privacy Policy

4.1 Overview

Protecting your personal data is a priority for SharePanel. This Privacy Policy describes the types of information we collect, how we use and share it, and the rights you have in various jurisdictions. We comply with PIPEDA (Canada), CCPA/CPRA (USA), GDPR (EU), and Federal Law No. 152-FZ (Russia), as applicable.

This Privacy Policy applies to:

  • All SharePanel.host websites, applications, and services
  • User accounts and registered services
  • API integrations and developer tools
  • Customer support and communication channels
  • Marketing activities and analytics

4.2 Personal Data Collected

We collect:

  • Registration Information: Name, email address, company name, billing address, payment details.
  • Service Usage Data: IP address, device identifiers, browser type/version, operating system, pages accessed, API calls.
  • Communications: Support tickets, feedback, survey responses.
  • Cookies & Tracking Technologies: Session cookies, persistent cookies, pixels, and similar technologies used to understand usage patterns and preferences.

Additional information we may collect includes:

  • Authentication credentials and access logs
  • User preferences and settings
  • Profile information and avatars
  • Content of messages sent through our platform
  • Technical data about your code and usage patterns
  • Integration configurations with third-party services
  • Employment and professional information for enterprise users
  • Location data (general location based on IP address)

4.3 Legal Basis & Purposes of Processing

We process your personal data on the following bases:

  1. Performance of Contract: To provide you with the Service, manage your account, and process payments.
  2. Legitimate Interests: To improve our products, ensure security, prevent fraud, and communicate updates.
  3. Consent: For marketing communications and cookies beyond strictly necessary.
  4. Legal Compliance: To comply with applicable laws, regulations, and legal processes.

Specific purposes for processing include:

  • Account creation and authentication
  • Service provision and personalization
  • Technical support and customer service
  • Platform security and fraud prevention
  • Analytics and service improvement
  • Communication about features, updates, and offers
  • Processing transactions and managing billing
  • Legal compliance and regulatory requirements
  • Enforcement of our Terms of Service
  • Research and development of new features

4.4 International Data Transfers & Safeguards

Our infrastructure is global. Data subject to EU GDPR is transferred outside the EU under Standard Contractual Clauses approved by the European Commission, supplemented with encryption and pseudonymization safeguards. Transfers of Russian personal data occur only to servers within Russia or to third-country recipients with explicit consent, in accordance with Federal Law No. 152-FZ. Transfers to the U.S. comply with the Trans-Atlantic Data Privacy Framework.

Additional safeguards include:

  • Encryption of data in transit and at rest
  • Regular security audits and penetration testing
  • Data minimization and purpose limitation
  • Vendor assessment and management
  • Employee training on data protection
  • Technical and organizational security measures

4.5 Data Subject Rights by Region

Canada (PIPEDA): Right to access, correct, and withdraw consent. Complaints to Office of the Privacy Commissioner of Canada.

USA (CCPA/CPRA): California residents may request access, deletion, and opt-out of sale of personal data, free of charge once per year. Non-discrimination guaranteed.

EU (GDPR): Rights to access (Art.15), rectify (Art.16), erase (Art.17), restrict (Art.18), data portability (Art.20), object (Art.21), and lodge a complaint with an EU supervisory authority.

Russia (152-FZ): Rights to access, correct, block, and delete personal data. Breach notifications to Roskomnadzor within 72 hours.

To exercise your rights, contact privacy@sharepanel.host with your request. We will respond within:

  • 30 days for GDPR requests
  • 45 days for CCPA/CPRA requests (with possible 45-day extension)
  • 30 days for PIPEDA requests
  • 7 working days for 152-FZ requests

4.6 Data Retention

We retain personal data only as long as necessary to fulfill the purposes outlined above and to comply with legal obligations. Retention schedules:

  • Account & Profile Data: up to 5 years after account closure.
  • Transactional & Billing Data: up to 7 years for tax and audit purposes.
  • Support & Communications Logs: 2 years for quality assurance and training.
  • Security logs and access records: 1 year
  • Backups: up to 30 days in rotating backup systems
  • Marketing preferences: until consent withdrawal

For enterprise customers, custom retention periods may be specified in your service agreement.
