Terms of Service

These Terms of Service ("Terms") represent a legally binding agreement between you and SharePanel.host. By accessing, browsing, or using the Service, you confirm your acceptance of and agreement to be bound by all of the terms and conditions contained herein. If you do not agree to these Terms, you must not use or access the Service. We reserve the right to amend these Terms at any time without prior notice. Your continued use of the Service following any such changes constitutes your acceptance of the new Terms. It is your responsibility to regularly review the Terms for updates.

To access certain features of the Service, you may be required to register for an account. By creating an account, you represent and warrant that you are at least 18 years of age and that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept full responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

The Service allows you to submit, post, display, and share content, including but not limited to text, images, videos, and other materials ("User Content"). You retain all of your rights in and to your User Content. By submitting User Content, you grant SharePanel.host a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business. This license also extends to third parties we partner with to provide the Service. You represent and warrant that you own or have the necessary rights and permissions to grant this license to us.

You agree not to post any User Content that is illegal, libelous, defamatory, obscene, pornographic, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable. We reserve the right to remove or modify any User Content that we deem, in our sole discretion, to be in violation of these Terms.

The Service and its original content, features, and functionality are and will remain the exclusive property of SharePanel.host and its licensors. The Service is protected by copyright, trademark, and other laws of both the Province of British Columbia and Canada, as well as foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SharePanel.host.

If you believe that your intellectual property rights have been violated, please follow our DMCA (Digital Millennium Copyright Act) policy for reporting claims of copyright infringement.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Reasons for termination may include, but are not limited to, a violation of these Terms, illegal activities, or prolonged account inactivity. If you wish to terminate your account, you may do so at any time via your account settings or by contacting us directly. Upon termination, all provisions of the Terms which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. SharePanel.host, its subsidiaries, affiliates, and its licensors do not warrant that the Service will function uninterrupted, be secure, or be available at any particular time or location; that any errors or defects will be corrected; or that the Service is free of viruses or other harmful components.

To the maximum extent permitted by applicable law, in no event shall SharePanel.host, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada, without regard to their conflict-of-law principles. You agree that any legal action or proceeding related to your use of the Service must be brought exclusively in the courts of the Province of British Columbia. This choice of law and venue provision does not affect your rights as a consumer to bring a claim in the courts of your province of residence, or to the extent that such a choice of law and venue provision is prohibited by applicable law.
