Terms of Service

These Terms govern your access to and use of SharePanel.host services, including SNCS instances, organizations, AI features, and all related services.

1. Agreement to Terms

By accessing or using SharePanel.host ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including:

  • Individual account holders deploying SNCS instances
  • Organization administrators and members
  • API users and developers integrating with SharePanel
  • Visitors to our website and documentation

Important: These Terms may be updated periodically. Continued use of the Service after changes constitutes acceptance. We recommend reviewing these Terms regularly.

2. Definitions

  • "Service" means SharePanel.host, including all websites, APIs, software, SNCS instances, organization tools, AI features, and related services.
  • "SNCS Instance" means a Simple No Code Service instance deployed through our platform, including templates (blogs, portfolios, wikis, e-commerce, CRMs, HR systems, etc.) and custom deployments.
  • "Organization" means a team workspace that enables collaboration, shared instances, role-based access control, and organization-specific tools.
  • "User Content" means all data, code, files, instances, configurations, and content that you upload, submit, deploy, or make available through the Service.
  • "AI Features" refers to our AI-powered site generation, ticket resolution, code review, chatbot assistant, and related artificial intelligence services.
  • "Organization Tools" means specialized instances and services linked to organizations, including Cloud Drive, Analytics Dashboard, API Gateway, CI/CD Pipeline, and Monitoring tools.
  • "Subscription" means the purchased right to access and use the Service according to a selected plan (Personal, Professional, or Enterprise).
  • "We," "Us," "Our" refers to SharePanel.host and its operators.
  • "You," "Your," "User" refers to the individual or entity accessing or using the Service.

3. Account Registration & Security

3.1 Account Creation

To use certain features of the Service, you must register for an account and provide:

  • Current, accurate, and complete information
  • A valid email address
  • A secure password
  • Billing information (for paid subscriptions)

3.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Enabling two-factor authentication (2FA) for enhanced security

3.3 Organization Accounts

Organization administrators are responsible for:

  • Managing member access and role assignments
  • Ensuring all members comply with these Terms
  • Monitoring organization tool subscriptions and usage
  • Promptly revoking access for departed employees or contractors
  • Maintaining accurate billing information for organization subscriptions

4. SNCS Instances & Deployments

4.1 Instance Deployment

SharePanel provides access to 28+ production-ready templates (20+ free, 8+ premium) and supports custom deployments. When deploying instances:

  • You are responsible for all content and data stored within your instances
  • Instances may be Active, Sleep (paused to save costs), or Dead (error state)
  • Sleeping instances can be woken instantly when needed (Professional plan feature)
  • Each deployment is tracked with comprehensive analytics
  • You must comply with template license terms and third-party dependencies
  • Premium templates require an active Professional or Enterprise subscription

4.2 Instance Limits

Instance limits vary by subscription tier:

  • Personal (Free): 2 active instances
  • Professional: 50 active instances
  • Enterprise: Custom limits based on agreement

Exceeding limits may result in instance suspension or require subscription upgrade.

4.3 Instance Content & Responsibility

You are solely responsible for:

  • All content, code, and data in your instances
  • Ensuring content complies with applicable laws and these Terms
  • Backing up important data (we provide automated backups, but you should maintain your own)
  • Monitoring instance health and responding to errors
  • Obtaining necessary licenses for third-party code or content

5. Organizations & Team Collaboration

5.1 Organization Features

Organizations enable team collaboration with:

  • Role-Based Access: Admin (full control), Member (create/manage instances), Viewer (read-only)
  • Shared Instances: Instances can be shared across organization members
  • Organization Tools: Cloud Drive, Analytics Dashboard, API Gateway, CI/CD Pipeline, and more
  • Internal Messaging: Built-in mailer for team communication
  • Resource Management: Centralized storage, file limits, and usage tracking

5.2 Organization Limits

Organization limits vary by subscription:

  • Personal (Free): 1 organization
  • Professional: 5 organizations
  • Enterprise: Unlimited organizations

5.3 Organization Administration

Organization administrators must:

  • Ensure all members comply with these Terms
  • Manage member access and permissions appropriately
  • Monitor organization tool subscriptions and usage
  • Respond promptly to security concerns or violations
  • Maintain accurate billing information

Violations by any organization member may result in suspension or termination of the entire organization account.

6. AI-Powered Features

6.1 Available AI Features

SharePanel offers AI-powered features including:

  • AI Site Generation: Generate complete websites from natural language descriptions
  • AI Ticket Resolution: Automated troubleshooting and support ticket resolution
  • AI Code Review: Automated code analysis and suggestions
  • AI Chatbot Assistant: Interactive help with platform questions and commands

6.2 AI Feature Usage

By using AI features, you understand and agree that:

  • AI-generated content may require human review and editing
  • AI responses are provided "as-is" without warranty
  • You are responsible for verifying the accuracy and appropriateness of AI-generated content
  • AI features may have usage limits based on your subscription tier
  • We may use your interactions with AI features to improve our services
  • AI features are not a substitute for professional advice or legal counsel

6.3 AI Feature Restrictions

You may not use AI features to:

  • Generate illegal, harmful, or prohibited content
  • Create content that violates intellectual property rights
  • Circumvent security measures or rate limits
  • Build competing services or products

7. Fees, Billing & Subscriptions

7.1 Subscription Plans

SharePanel offers the following subscription tiers:

  • Personal (Free): 1 organization, 2 active instances, 1 GB storage, 20+ free templates, basic API access
  • Professional ($29.99/month): 5 organizations, 50 active instances, 10 GB storage, all 28+ templates, organization tools, sleeping instances, AI features, advanced API access
  • Enterprise: Custom pricing with dedicated support, higher limits, and enterprise features

7.2 Additional Fees

Additional fees may apply for:

  • Organization tool subscriptions (Cloud Drive, Analytics, API Gateway, CI/CD, etc.)
  • Custom subdomains (from $2/month)
  • Exceeding subscription limits (overage charges may apply)
  • Premium support or dedicated infrastructure (Enterprise plans)

7.3 Billing & Payment

  • All fees are billed in U.S. dollars
  • Subscriptions automatically renew unless cancelled at least 30 days prior to renewal
  • Upgrades take effect immediately with prorated charges
  • Downgrades take effect at the end of the current billing period
  • Payment is processed securely through third-party payment processors
  • Refunds are provided according to our refund policy (available upon request)

7.4 Free Trial

New accounts may be eligible for a 14-day free trial of Professional features. The trial automatically converts to a paid subscription unless cancelled before the trial period ends.

8. Acceptable Use & Restrictions

8.1 Prohibited Activities

You agree not to use the Service to:

  • Deploy instances containing illegal, harmful, or prohibited content
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Distribute malware, spam, or unsolicited communications
  • Perform network scans, penetration tests, or DDoS attacks
  • Exceed subscription limits without upgrading
  • Use AI features to generate prohibited content
  • Scrape, harvest, or extract data from other users' instances
  • Circumvent technical restrictions or rate limits
  • Use the Service to compete with SharePanel or build competing products
  • Store sensitive data without proper security measures

8.2 Content Responsibility

You are solely responsible for all User Content. SharePanel does not endorse, control, or assume responsibility for any User Content. We reserve the right to remove or disable access to any User Content that violates these Terms.

9. Intellectual Property

9.1 SharePanel Ownership

SharePanel and its licensors exclusively own all right, title, and interest in and to the Service, including:

  • All software, code, and technology
  • SNCS templates and their designs
  • AI models and algorithms
  • Trademarks, logos, and branding
  • Documentation and marketing materials

9.2 Your Content

You retain ownership of your User Content. However, by using the Service, you grant SharePanel:

  • A worldwide, royalty-free license to use, host, store, reproduce, modify, and distribute your User Content in connection with providing the Service
  • The right to use aggregated, anonymized usage data to improve our services

9.3 Third-Party Content

The Service may include third-party content, code, or services. You must comply with all applicable third-party licenses (e.g., open-source licenses). SharePanel is not responsible for third-party content.

10. Suspension & Termination

10.1 Termination by You

You may cancel your account at any time through your dashboard or by contacting support. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • All instances will be deactivated
  • Your data will be retained for 60 days, after which it may be permanently deleted

10.2 Termination by SharePanel

SharePanel may immediately suspend or terminate your access to the Service, without notice or liability, if:

  • You breach these Terms or our Acceptable Use Policy
  • You fail to pay fees when due
  • We reasonably believe such action is necessary to protect the Service or third parties
  • Required by law or legal process

10.3 Effect of Termination

Upon termination:

  • All your instances will be deactivated
  • Organization access will be revoked for all members
  • Your data will be retained for 60 days, after which it may be permanently deleted
  • All API keys and access tokens will be invalidated
  • Outstanding payment obligations will become immediately due

11. Disclaimers & Limitations of Liability

11.1 Service Availability

While we strive for 99.98% uptime, the Service is provided "as-is" and "as-available" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • That the Service will meet your specific requirements
  • That defects will be corrected
  • That the Service is free of viruses or harmful components

11.2 Limitation of Liability

To the maximum extent permitted by law, SharePanel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

11.3 AI Feature Disclaimers

AI features are provided "as-is" without warranty. SharePanel is not responsible for the accuracy, completeness, or appropriateness of AI-generated content. You are solely responsible for reviewing and verifying all AI-generated content before use.

12. General Provisions

12.1 Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or dashboard notice. Continued use of the Service after changes constitutes acceptance.

12.2 Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. Any disputes will be resolved in the courts of [Jurisdiction].
